Regulation A+ Improvement Act of 2026
To amend the Securities Act of 1933 with respect to small company capital formation, and for other purposes.
Summary
This bill amends the Securities Act of 1933 to increase limits on small company capital formation under Regulation A+. The bill raises the offering limit from $50 million to $150 million for small companies seeking to raise capital. The bill also requires the Securities and Exchange Commission to adjust these limits every two years for inflation based on the Consumer Price Index. The inflation adjustment applies to both the primary offering limit and related regulatory thresholds. These changes are intended to facilitate capital raising for small companies.
