Helping Startups Continue To Grow Act

H. R. 3323 To update the definition of an emerging growth company, and for other purposes.

Introduced May 13, 2025

Latest action (Jun 4, 2025) Placed on the Union Calendar, Calendar No. 102.

Summary

This bill updates the federal definition of an emerging growth company, a classification that provides regulatory relief and reduced disclosure requirements to smaller public companies. The bill raises the annual revenue threshold for qualifying as an emerging growth company from $1 billion to $3 billion. The bill also extends the period during which a company can be classified as an emerging growth company from five years to ten years following its initial public offering. These changes apply to both the Securities Act of 1933 and the Securities Exchange Act of 1934, allowing more companies to benefit from these regulatory provisions for a longer duration.
